Thuật ngữ OTC (Over the Counter – Giao dịch tại quầy) xuất hiện khi các chứng khoán vẫn còn được giao dịch một cách thủ công. Tuy nhiên, theo cách hiểu thông dụng nhất hiện nay thì thị trường OTC được tổ chức bao gồm một mạng lưới các tổ chức trung gian môi giới và tạo lập thị trường, các tổ chức này được kết nối với nhau và kết nối với trung tâm quản lý thông qua một mạng máy tính điện tử diện rộng. Các công ty chứng khoán sẽ liên tục đưa lên mạng báo giá hai chiều và khối lượng chứng khoán tối đa có thể thực hiện mua hoặc bán. Với mạng lưới này, các công ty chứng khoán cũng có thể thực hiện việc đàm phán, thương lượng giá và khối lượng giao dịch trên cơ sở báo giá, thông báo về kết quả giao dịch cho trung tâm quản lý, trung tâm thanh toán bù trừ và lưu ký chứng khoán. Cơ chế thiết lập giá trên thị trường này chủ yếu là theo thỏa thuận, mua bán phi tập trung tại nhiều địa điểm đồng thời vẫn được quản lý, giám sát tốt. Như vậy, thị trường OTC là một thị trường có tổ chức và hoạt động theo các quy định của pháp luật, nó khác biệt hoàn toàn với thị trường “chợ đen” – là thị trường tự phát và không có điều chỉnh của pháp luật.
Mục tiêu đặt ra cho việc tạo dựng khung pháp lý của thị trường OTC Việt Nam là để tạo môi trường thuận lợi cho việc phát hành và giao dịch các chứng khoán không đủ tiêu chuẩn niêm yết trên trung tâm giao dịch chứng khoán, nhằm khuyến khích việc huy động các nguồn vốn trong và ngoài nước vào phát triển kinh tế đất nước, bảo đảm cho thị trường hoạt động một cách an toàn, công bằng và hiệu quả, bảo vệ quyền lợi hợp pháp của các nhà đầu tư tham gia vào thị trường.
Thị trường OTC không chỉ đơn thuần là một kênh dẫn vốn hết sức quan trọng mà tự thân nó còn là trung tâm xử lý, khuếch đại thông tin, gây tin thất thiệt trên cơ sở đầu tư trục lợi và thao túng thị trường của một số nhà đầu tư bất chính. Do vậy, việc tạo dựng một hành lang pháp lý đầy đủ cần phải xét đến các bước từ khâu phát hành chứng khoán lần đầu tiên cho đến các tổ chức trung gian tham gia trên thị trường như môi giới chứng khoán, tự doanh, tư vấn đầu tư, bảo lãnh phát hành, quản lý danh mục đầu tư và các dịch vụ thanh toán bù trừ, lưu ký chứng khoán …
Trong thời gian đầu đưa thị trường vào vận hành, hệ thống pháp lý của thị trường OTC không nhất thiết phải là các văn bản luật được ban hành một cách đầy đủ và quá chi tiết cho các mặt hoạt động để tránh cản trở sự phát triển của thị trường chứng khoán, mà có thể là các văn bản dưới luật. Trong thời gian đầu hình thành, để đảm bảo khả năng điều chỉnh pháp luật, việc ban hành một nghị định về thị trường OTC là cần thiết. Đây là cơ sở pháp lý ban đầu cho việc đưa vào vận hành thị trường OTC Việt Nam trong khi chúng ta xây dựng được một bộ luật hoàn chỉnh về chứng khoán. Đây cũng là cơ sở pháp lý cho tất cả các công việc chuẩn bị tiếp theo có liên quan đến việc thành lập thị trường OTC và các đối tượng tham gia thị trường. Chính vì vậy, nghị định này cần phải đề cập đến các vấn đề liên quan tới giao dịch, các tổ chức tham gia thị trường, các định chế trung gian, các hành vi giao dịch bị cấm và vấn đề trung gian hòa giải.
Việc quy định các tiêu chuẩn phát hành cũng như phương thức phát hành cổ phiếu, trái phiếu doanh nghiệp là vấn đề cụ thể hóa các điều kiện cho sự bảo đảm của thị trường OTC lúc khởi đầu, tạo tiền đề cơ sở cho việc đưa các chứng khoán có chất lượng cao vào giao dịch. Cụ thể, quy định có thể đưa ra các chuẩn mực về vốn, thời gian kinh doanh có lãi trong một số năm nhất định, cơ chế bảo lãnh phát hành cũng như tỷ lệ nắm giữ cổ phiếu của các cổ đông đại chúng cũng như việc tham gia của các đối tác nước ngoài vào thị trường OTC.
Việc quy định các thành viên tham gia thị trường lúc khởi đầu, bao gồm cả việc cho phép thành lập các tổ chức trung gian, các định chế tài chính tham gia vào kinh doanh và các quy định về hành vi bị cấm trong giao dịch sẽ tạo ra một cơ chế vận hành hiệu quả, qua đó hạn chế được các tác động tiêu cực làm ảnh hưởng đến thị trường.
