Hợp đồng hợp tác kinh doanh (“Hợp đồng BCC”), trước đây được gọi là hợp đồng liên doanh, là một trong các hình thức đầu tư được ghi nhận theo pháp luật đầu tư Việt Nam. Theo đó, đối với hình thức đầu tư này, pháp luật hiện hành chủ yếu quy định tại Luật Đầu tư 2014.
CÁC QUY ĐỊNH VỀ ĐẦU TƯ THEO HÌNH THỨC HỢP ĐỒNG BCC
Thứ nhất, về đặc điểm
Căn cứ theo quy định tại Khoản 9 Điều 3 Luật Đầu tư 2014, đầu tư theo hình thức hợp đồng BCC có một số đặc trưng sau:
(i) Chủ thể ký kết, thực hiện: giữa các nhà đầu tư, có thể là cá nhân, pháp nhân Việt Nam hoặc nước ngoài;
(ii) Mục đích: phân chia lợi nhuận, phân chia sản phẩm;
(iii) Tính chất: không cần thành lập tổ chức kinh tế mới.
Thứ hai, về việc thực hiện thủ tục xin cấp giấy chứng nhận đăng ký đầu tư
Theo quy định tại Điều 28 và Điều 36 Luật Đầu tư 2014, không phải tất cả các dự án đầu tư theo hình thức hợp đồng BCC đều phải thực hiện thủ tục xin cấp Giấy chứng nhận đăng ký đầu tư, cụ thể:
(i) Đối với hợp đồng BCC được ký kết giữa các nhà đầu tư trong nước, nhà đầu tư không phải thực hiện thủ tục xin cấp Giấy chứng nhận đăng ký đầu tư;
(ii) Đối với hợp đồng BCC được ký kết giữa nhà đầu tư trong nước và nhà đầu tư nước ngoài hoặc giữa các nhà đầu tư nước ngoài với nhau thì phải thực hiện thủ tục xin cấp giấy chứng nhận đăng ký đầu tư.
Thứ ba, về ban điều phối thực hiện hợp đồng BCC
Khi đầu tư theo hình thức hợp đồng BCC, các bên thành lập ban điều phối để thực hiện hợp đồng BCC.
Chức năng, nhiệm vụ, quyền hạn của ban điều phối hợp đồng BCC do các nhà đầu tư thỏa thuận. Do đầu tư theo hình thức hợp đồng BCC không thành lập tổ chức kinh tế mới nên việc thành lập ban điều phối thực hiện hợp đồng là rất cần thiết trong việc quản lý hoạt động đầu tư, theo dõi tiến độ thực hiện dự án đầu tư và đảm bảo được sự kiểm soát hoạt động của các nhà đầu tư.
Thứ tư, về nội dung hợp đồng BCC
Một số nội dung chủ yếu của hợp đồng BCC được quy định tại Điều 29 Luật Đầu tư 2014.
Theo đó, hợp đồng BCC giữa các nhà đầu tư ngoài các nội dung quy định tại khoản 1 Điều 29 Luật Đầu tư 2014 thì có thể thỏa thuận các nội dung khác không trái với quy định pháp luật.
QUY ĐỊNH VỀ VIỆC THU HỒI GIẤY CHỨNG NHẬN ĐĂNG KÝ ĐẦU TƯ
Thứ nhất, về thẩm quyền thu hồi Giấy chứng nhận đăng ký đầu tư
Việc thu hồi giấy chứng nhận đăng ký đầu tư thuộc thầm quyền của cơ quan đăng ký đầu tư, được quy định cụ thể tại Điều 38 Luật Đầu tư 2014 và Điều 28 Nghị định 118/2015/NĐ – CP. Theo đó:
(i) Đối với các dự án đầu tư trong khu công nghiệp, khu chế xuất, công công nghệ cao, khu kinh tế, việc thu hồi giấy chứng nhận đăng ký đầu tư thuộc Ban quản lý các khu công nghiệp, khu chế xuất, khu công nghệ cao, khu kinh tế đó;
(ii) Đối với các dự án đầu tư ngoài khu công nghiệp, khu chế xuất, khu công nghệ cao, khu kinh tế, việc thu hồi giấy chứng nhận đăng ký đầu tư thuộc Sở Kế hoạch và Đầu tư.
Thứ hai, về điều kiện thu hồi Giấy chứng nhận đăng ký đầu tư
Việc thu hồi Giấy chứng nhận đăng ký đầu tư được thực hiện khi dự án đầu tư bị chấm dứt hoạt động theo quy định tại khoản 1 Điều 48 Luật Đầu tư 2014.
Thứ ba, về thủ tục thu hồi giấy chứng nhận đăng ký đầu tư
Thủ tục thu hồi giấy chứng nhận đăng ký đầu tư được quy định cụ thể tại khoản 2 Điều 41 Nghị định 118/2015/NĐ – CP:
(i) Nếu nhà đầu tư tự quyết định chấm dứt hoạt động của dự án đầu tư thì nhà đầu tư gửi quyết định chấm dứt dự án đầu tư kèm theo Giấy chứng nhận đăng ký đầu tư (nếu có)tới cơ quan đăng ký đầu tư trong vòng 15 ngày kể từ ngày quyết định chấm dứt;
(ii) Nếu dự án bị chấm dứt do hết thời hạn thực hiện dự án hoặc theo các điều khoản chấn dứt trong hợp đồng, điều lệ thì nhà đầu tư thông báo và nộp lại Giấy chứng nhận đăng ký đầu tư (nếu có) kèm theo bản sao tài liệu ghi nhận việc chấm dứt hoạt động của dự án đầu tư cho Cơ quan đăng ký đầu tư trong thời hạn 15 ngày kể từ ngày chấm dứt hoạt động của dự án đầu tư;
(iii) Nếu dự án đầu tư bị chấm dứt do liên quan tới yêu cầu của cơ quan nhà nước có thẩm quyền tại điểm d, đ, e, g, h khoản 1 Điều 48 Luật Đầu tư 2014 thì cơ quan đăng ký đầu tư quyết định chấm dứt hoạt động của dự án đầu tư, đồng thời thu hồi Giấy chứng nhận đăng ký đầu tư đối với dự án đầu tư được cấp Giấy chứng nhận đăng ký đầu tư. Giấy chứng nhận đăng ký đầu tư chấm dứt hiệu lực kể từ ngày quyết định chấm dứt hoạt động của dự án đầu tư có hiệu lực.
