Nhà ở vừa là đối tượng trong các giao dịch dân sự phục vụ nhu cầu của người dân, vừa là đối tượng giao dịch trong kinh doanh thương mại của các doanh nghiệp kinh doanh nhà ở.
Nhà ở hình thành trong tương lai là một loại tài sản hình thành trong tương lai, giao dịch về nhà ở hình thành trong tương lai chịu sự điều chỉnh chung của pháp luật về tài sản hình thành trong tương lai và pháp luật về nhà ở. Vậy pháp luật quy định như thế nào về nhà ở hình thành trong tương lai? Có được thế chấp nhà ở hình thành trong tương lai không? Nếu có, cần lưu ý những gì khi thế chấp nhà ở hình thành trong tương lai?
Thế nào là nhà ở hình thành trong tương lai?
Khoản 2 Điều 108 Bộ luật Dân sự 2015 quy định tài sản hình thành trong tương lai bao gồm: (i) Tài sản chưa hình thành; (ii) Tài sản đã hình thành nhưng chủ thể xác lập quyền sở hữu tài sản sau thời điểm xác lập giao dịch.
Theo quy định tại Khoản 19 Điều 3 Luật Nhà ở 2014 và Khoản 4 Điều 3 Luật Kinh doanh bất động sản 2014, nhà ở hình thành trong tương lai là nhà ở đang trong quá trình xây dựng và chưa được nghiệm thu đưa vào sử dụng.
Như vậy, có thể hiểu nhà ở hình thành trong tương lai bao gồm: (i) Nhà ở chưa hình thành; (ii) Nhà ở đang trong quá trình hình thành; (iii) Nhà ở đã được hình thành tại thời điểm giao dịch nhưng chưa được cấp Giấy chứng nhận quyền sử dụng đất, quyền sở hữu nhà ở và tài sản khác gắn liền với đất.
Khái niệm thế chấp tài sản
Thế chấp tài sản là việc một bên dùng tài sản thuộc sở hữu của mình để bảo đảm thực hiện nghĩa vụ và không giao tài sản cho bên kia.
Có được thế chấp nhà ở hình thành trong tương lai không?
Căn cứ theo quy định của pháp luật nhà ở và pháp luật kinh doanh bất động sản, các chủ thể có quyền được phép thế chấp nhà ở hình thành trong tương lai, tuy nhiên phải đáp ứng các điều kiện và trình tự thủ tục nhất định.
Điều 147 Luật Nhà ở 2014 quy định các trường hợp thế chấp nhà ở hình thành trong tương lai bao gồm:
(i) Chủ đầu tư dự án xây dựng nhà ở thế chấp dự án hoặc nhà ở xây dựng trong dự án tại tổ chức tín dụng đang hoạt động tại Việt Nam để vay vốn cho việc đầu tư dự án hoặc xây dựng nhà ở đó;
(ii) Tổ chức, cá nhân xây dựng nhà ở hình thành trong tương lai trên thửa đất ở hợp pháp của mình; tổ chức, cá nhân mua nhà ở hình thành trong tương lai trong dự án đầu tư xây dựng nhà ở của chủ đầu tư được thế chấp nhà ở này tại tổ chức tín dụng đang hoạt động tại Việt Nam để vay vốn phục vụ cho xây dựng nhà ở hoặc để mua chính nhà ở đó.
Lưu ý: Nhà ở đã đưa vào sử dụng và chưa được chứng nhận quyền sở hữu không được thế chấp. Ngoài ra, nhà ở hình thành trong tương lai chỉ được thế chấp tại một tổ chức tín dụng.
Điều kiện thế chấp nhà ở hình thành trong tương lai
Đối với chủ đầu tư, chủ đầu tư được thế chấp nhà ở hình thành trong tương lai thuộc dự án đầu tư xây dựng nhà ở khi đáp ứng đầy đủ các điều kiện quy định tại Khoản 2 Điều 7 Thông tư 26/2015/TT-NHNN, bao gồm:
(i) Có hồ sơ dự án, thiết kế kỹ thuật của dự án được phê duyệt;
(ii) Có Giấy chứng nhận hoặc quyết định giao đất, cho thuê đất của cơ quan nhà nước có thẩm quyền;
(iii) Là dự án đầu tư xây dựng nhà ở được thế chấp vay vốn tại tổ chức tín dụng;
(iv) Nhà ở thế chấp phải thuộc diện đã xây dựng xong phần móng theo quy định của pháp luật về xây dựng;
(v) Không nằm trong phần dự án mà chủ đầu tư đã thế chấp;
(vi) Không thuộc diện đang có tranh chấp, khiếu nại, khiếu kiện về quyền sở hữu;
(vii) Không bị kê biên để thi hành án hoặc không bị kê biên để chấp hành quyết định hành chính đã có hiệu lực pháp luật của cơ quan nhà nước có thẩm quyền;
(viii) Không thuộc diện đã có quyết định thu hồi đất, có thông báo giải tỏa, phá dỡ nhà ở của cơ quan nhà nước có thẩm quyền.
Đối với cá nhân, tổ chức thế chấp nhà ở hình thành trong tương lai được xây dựng trên thửa đất hợp pháp của mình phải đáp ứng các điều kiện sau:
(i) Có giấy tờ chứng nhận quyền sử dụng đất ở hợp pháp theo quy định của pháp luật về đất đai;
(ii) Có Giấy phép xây dựng nếu thuộc diện phải có giấy phép xây dựng theo quy định của pháp luật có liên quan;
(iii) Không thuộc diện đang có tranh chấp, khiếu nại, khiếu kiện về quyền sở hữu;
(iv) Không bị kê biên để thi hành án hoặc không bị kê biên để chấp hành quyết định hành chính đã có hiệu lực pháp luật của cơ quan nhà nước có thẩm quyền;
(v) Không thuộc diện đã có quyết định thu hồi đất, có thông báo giải tỏa, phá dỡ nhà ở của cơ quan nhà nước có thẩm quyền.
Đối với cá nhân, tổ chức thế chấp nhà ở hình thành trong tương lai mua của chủ đầu tư trong dự án xây dựng nhà ở phải đáp ứng các điều kiện sau:
(i) Có hợp đồng mua bán nhà ở ký kết với chủ đầu tư;
(ii) Có văn bản chuyển nhượng hợp đồng mua bán nhà ở nếu là bên nhận chuyển nhượng hợp đồng mua bán nhà ở theo quy định;
(iii) Có giấy tờ chứng minh đã đóng tiền mua nhà ở cho chủ đầu tư theo tiến độ thỏa thuận trong hợp đồng mua bán nhà ở;
(iv) Không thuộc diện đang có khiếu nại, khiếu kiện, tranh chấp về hợp đồng mua bán nhà ở hoặc về việc chuyển nhượng hợp đồng mua bán nhà ở này;
(v) Không bị kê biên để thi hành án hoặc không bị kê biên để chấp hành quyết định hành chính đã có hiệu lực pháp luật của cơ quan nhà nước có thẩm quyền;
(vi) Không thuộc diện đã có quyết định thu hồi đất, có thông báo giải tỏa, phá dỡ nhà ở của cơ quan nhà nước có thẩm quyền.
