– Công ty đại chúng được định nghĩa tại Điều 25 Luật Chứng khoán 2006, là công ty cổ phần thuộc một trong ba loại hình sau:
Công ty đã thực hiện chào bán cổ phiếu ra công chúng;
Công ty có cổ phiếu được niêm yết tại Sở giao dịch chứng khoán hoặc Trung tâm giao dịch chứng khoán;
Công ty có cổ phiếu được ít nhất 100 nhà đầu tư sở hữu, không kể nhà đầu tư chứng khoán chuyên nghiệp và có vốn điều lệ đã góp từ 10 tỷ đồng trở lên.
– Công ty niêm yết là một công ty công cộng mà trong đó cổ phiếu được phép mua bán trên các thị trường chứng khoán.
Như vậy, một công ty niêm yết thì chắc chắn là một công ty đại chúng nhưng một công đại chúng thì không có nghĩa đó là công ty niêm yết.
Điều kiện thành lập
Nếu muốn trở thành công ty đại chúng thì chỉ cần thoản mãn một trong các điều kiện theo quy định tại khoản 1 Điều 25 Luật chứng khoán 2006.
Tuy nhiên, để trở thành công ty niêm yết thì phải thoả mãn 03 điều kiện được căn cứ theo Điều 12 của Luật chứng khoán 2006 như sau:
– Doanh nghiệp có mức vốn điều lệ đã được góp vào thời điểm đăng ký chào bán từ 10 tỷ đồng trở lên (tính theo giá trị đã ghi trên sổ kế toán);
– Hoạt động kinh doanh liên tục các năm trước đăng ký phải có lãi và tính đến năm đăng ký chào bán không có lỗ lũy kế;
– Có phương án phát hành và sử dụng vốn thu được từ các đợt chào bán được Đại hội đồng cổ đông thông qua.
Sự khác nhau cơ bản khác
Căn cứ theo Điều 54 Nghị định 58/2012/NĐ-CP quy định chi tiết và hướng dẫn thi hành một số điều luật của Luật Chứng khoán và luật sửa đổi bổ sung một số điều của Luật Chứng khoán thì:
– Về vốn điều lệ: Công ty đại chúng phải có vốn điều lệ từ 10 tỷ VNĐ trở lên trong khi Công ty niêm yết phải có vốn điều lệ từ 30 tỷ VNĐ trở lên;
– Về tính đại chúng: Công ty đại chúng yêu cầu tối thiểu 100 nhà đầu tư nắm giữ cổ phiếu không kể nhà đầu tư chuyên nghiệp là các tổ chức tài chính trong khi Công ty niêm yết yêu cầu thêm điều kiện là 100 cổ đông nắm giữ ít nhất 15% cổ phiếu có quyền biểu quyết;
– Về thời gian nắm giữ cổ phiếu của các thành viên trong ban lãnh đạo công ty: Công ty đại chúng không quy định tỷ lệ và thời gian nắm giữ bắt buộc của các thành viên lãnh đạo, trong khi Công ty niêm yết yêu cầu ban lãnh đạo nắm giữ 100% số cổ phiếu trong thời gian 06 tháng kể từ ngày niêm yết và 50% số cổ phiếu này trong thời gian 06 tháng tiếp theo.
